Proper Pilots Terms of Service

Welcome to Proper Pilots! We connect certified flight instructors (CFIs), flight schools, and aircraft with students, simplifying scheduling, payment management, training tracking, and administrative communication. Please carefully review these Terms of Service (“Terms”), as they govern your use of the Proper Pilots platform and associated services (the “Service”).
1. Acceptance of Terms
By creating an account, downloading, or using the Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.
2. Definitions
- “Service”: The Proper Pilots app and all related functionalities including scheduling, payments, and tracking.
- “User”: Anyone who registers or interacts with the Service (CFIs, students, flight schools, or aircraft owners/operators).
- “User-Generated Content”: Information, data, reviews, notes, images, videos, and other materials submitted by Users.
3. User Accounts & Responsibility
- Account Creation: You must provide accurate, current, and complete information.
- Security: You are solely responsible for maintaining your account credentials and all activities occurring under your account.
4. User-Generated Content
- Accuracy: Proper Pilots does not verify or endorse the accuracy, completeness, or reliability of User-Generated Content.
- Responsibility: You agree that you are solely responsible for content submitted, posted, or uploaded by you.
- License: You grant Proper Pilots a non-exclusive, royalty-free license to use your content solely to operate the Service.
5. Regulatory Compliance and Aviation Safety Disclaimer
Proper Pilots provides only a platform connecting flight students, CFIs, and aircraft for scheduling, payment, and administrative convenience. Proper Pilots explicitly does NOT:
- Participate in, manage, oversee, or control flight operations, aircraft maintenance, or airworthiness.
- Oversee aircraft registration status or regulatory compliance.
- Manage certification, training standards, proficiency, qualifications, or regulatory compliance of CFIs or flight schools.
- Provide guidance, enforce, or ensure compliance with aviation regulations, FAA requirements, or any other safety or regulatory measures.
You explicitly acknowledge it is your sole responsibility to ensure compliance with aviation regulations, safety standards, certifications, aircraft condition, and best practices. Proper Pilots disclaims all liability relating to any aviation operations, safety incidents, regulatory non-compliance, or related matters.
6. Unauthorized Access, Reverse Engineering, and Solicitation
You explicitly agree NOT to:
- Attempt unauthorized access to the Service, backend systems, or protected areas.
- Reverse-engineer, decompile, decode, or attempt to extract source code or proprietary methods.
- Intercept, alter, or attempt to modify network requests or communications associated with the Service.
- Use automated means to scrape, mine, or monitor data within the app.
- Collect or attempt to gain information about Users for purposes outside the intended use, including external marketing or competing services.
Violation will result in immediate termination and possible legal consequences.
7. Non-Competition and Intellectual Property Restriction
By using Proper Pilots, you agree NOT to:
- Extract, copy, export, reproduce, or use any concepts, ideas, interfaces, trademarks, or proprietary information from Proper Pilots outside the Service, particularly in competitive contexts.
- Utilize the Service or any information contained therein to develop or assist in developing competing applications or services.
- Infringe upon Proper Pilots’ intellectual property rights.
Violation will result in immediate account termination and potential legal action.
8. Disclaimers
- No Professional Aviation Advice: The Service is not intended as aviation instruction or advice. It is solely a scheduling and management platform.
- As-Is Basis: The Service is provided “AS IS” and Proper Pilots expressly disclaims all warranties, express or implied.
9. Limitation of Liability
To the maximum extent permitted by law:
- Proper Pilots, its affiliates, officers, directors, employees, agents, or licensors shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages.
- Proper Pilots’ total aggregate liability shall not exceed the greater of USD $100 or fees paid to Proper Pilots within the preceding six (6) months.
- Software Services are provided on a “best-effort” basis. We take our platform seriously and will do our best to make it as reliable as possible.
- Proper Pilots shall not be liable for any loss or damage arising from your use of the Service, including but not limited to:
- Data loss or corruption;
- Interruption or delay in the Service;
- System failures or errors;
- Unauthorized access or alteration of data;
- Any other loss or damage arising from your use of the Service.
10. Indemnification
You agree to defend, indemnify, and hold harmless Proper Pilots and its affiliates, directors, officers, employees, agents, and licensors from all claims, liabilities, damages, losses, and expenses arising out of or connected with your:
- Use of the Service;
- Violation of these Terms;
- User-Generated Content;
- Violation of third-party rights.
11. Modifications to the Service or Terms
Proper Pilots may update or modify these Terms or the Service at any time. Material changes will be communicated via app notification or email. Continued use constitutes acceptance of revised Terms.
12. Termination
Proper Pilots may suspend or terminate your access at our discretion. Upon termination, Sections 3–11 and 13–14 shall survive.
13. Governing Law & Dispute Resolution
These Terms and related disputes shall be governed by the laws of the State of Indiana. Legal actions must be brought exclusively in the courts of [Insert County], Kentucky.
14. General Provisions
- Severability: Unenforceable provisions will not affect the validity of remaining Terms.
- Entire Agreement: These Terms and Privacy Policy constitute the entire agreement.
- Waiver: Failure to enforce any provision does not constitute waiver.
